Terms of service for InternetEdit submissions


If you are submitting work to InternetEdit, you must agree to the following terms of service. If you do not agree, do not submit work requests or documents. Submission of work requests is deemed to indicate an acceptance on your part of these terms of service.

  1. Nocturne will take all due care and use industry standard techniques to protect customers' confidentiality and data integrity.
  2. Nocturne reserves the right to refuse to provide services to specific customers without stated justification.
  3. The copyright on work products is transferred to the customer only on completion of payment for that work.
  4. Complete payment is due immediately on delivery of the work, or on receipt of the emailed request for payment (whichever is later), unless alternate arrangements have been made prior to the beginning of work.
  5. For some larger jobs, or for customers who fall within certain geographic or statistical profiles, partial or complete payment may be requested by Nocturne prior to the start of work.
  6. In cases where payment for services has not been made after 30 days, and alternate arrangements have not been negotiated with Nocturne Communications, the copyright on the work products revert to Nocturne. In this case, Nocturne is no longer obliged to transfer the copyright to the customer. In addition, in this case Nocturne will retain the right to use the edited content or work product and the originally submitted content for marketing or demonstration purposes, without limitation.
  7. Nocturne will charge interest on payments not completed within one week of the request for payment. The rate of interest charged after one week is 10%. Nocturne will charge an additional 20% interest for each additional delay of 30 days. In addition, an administrative charge of $10 is applied each time Nocturne reissues an invoice to show accumulating interest.
  8. The customer is responsible for completing payment, regardless of problems related to PayPal availability or service, email problems, mail delivery problems, or banking difficulties. The customer is responsible for resolving any issues affecting their ability to make payment.
  9. Nocturne will deliver work products to the customer by the customer's deadline, or by the deadline indicated in Nocturne's Quote and Delivery Time message, whichever is later. If Nocturne fails to deliver the work products by the later deadline, then there will be no charge to the customer for the work products that are late.
  10. If Nocturne provides a confirmation of deadline in terms of elapsed hours (delivery time), that confirmed deadline is valid only so long as work is authorized (and paid for, when prepayment is required) within four hours of the transmission of the confirmation of deadline or delivery time. (This condition is required in situations where the customer does not respond in a timely manner, and delivery times change.)
  11. Work products are considered to be delivered when they are sent by Nocturne via email, fax, or the web. If work products are sent close to the delivery deadline, and have been identified as high priority, Nocturne may follow up with a confirmation message. The customer is responsible for contacting Nocturne if their deadline is approaching and they have not received their expected work products.
  12. Nocturne is released from any agreed deadlines in any situation where a customer's files are found to be contaminated with viruses, worms, trojans or other malicious code or suspicious scripts or macros, or if a customer's files are damaged in a way not immediately detectable. Nocturne will notify the customer immediately in situations where contamination or damage is detected.
  13. Nocturne is not liable for any damages, charges or incurred costs associated with delivered work products or the use of those products. The customer assumes all liability. The customer is deemed to have accepted the work product 'as is' at the point where they make payment for the work product, or when they indicate that they have found the work product to be acceptable. The customer agrees not to use, distribute or publish work products before they have accepted those work products.
  14. Nocturne takes all reasonable care to ensure that its working environments are free from viruses, worms, trojans or other propagating entities. Measures include the use of script blocks, email scanners, commercial grade virus scanners, and firewalls. Nocturne is not liable for any damages associated with the contamination or infection of work products that are returned to customers. Customers are responsible for maintaining their own security and virus protection.
  15. The customer is responsible for ensuring that copyrights and trademarks are not violated. Nocturne takes no responsibility for copyrights or trademarks in edited or rewritten documents.
  16. In case of any dispute between the customer and Nocturne regarding tasking (the instructions for performing the work) or the conditions or quality of work, Nocturne will review the quote provided to the customer, and the customer's authorization to proceed with work. If this dispute occurs after the work is performed or during the performance of the work, Nocturne reserves the right to decide whether the work guaranteed in the quote is being or was delivered in accordance with Nocturne's quality of service (QOS) standards. The customer agrees to abide by Nocturne's evaluation of adherance and with Nocturne's decision regarding any payment due.
  17. Nocturne cannot guarantee adherance to the QOS standards for certain types of content, or for authors whose English skills are below a minimum level. In these cases, Nocturne will identify this condition in the quote. If this condition is noted in the customer's quote and the customer authorizes the work, the customer agrees that QOS standards will not be applied.
  18. Unless otherwise specified, delivery times and thresholds are stated in Pacific Standard Time GMT/UTC-8 or Pacific Daylight time GMT/UTC-7 (as appropriate depending on which timezone is in effect).
  19. The clocks and timers on the InternetEdit and Nocturne websites are provided as planning aids only, and do not guarantee acknowledgement or delivery times. These aids are updated periodically, but are typical values only.
